Terms & Conditions

By accessing or using Need4Lead (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you (acting on behalf of your business) and Need4Lead (“we,” “us,” or “our”).

Need4Lead is a members-only B2B platform. By creating an account you confirm that:

• You are at least 18 years old.
• You are authorized to bind a legitimate business entity.
• You will use the Service solely for business purposes.
• You hold any required California licenses for the trade(s) you represent.

We reserve the right to refuse, suspend, or revoke membership at any time, with or without cause.

• Membership is granted only after we verify your business credentials.
• You must keep your company information, contact details, and license status current.
• Membership is non-transferable. Sharing accounts between companies is prohibited.

Need4Lead operates a barter and exchange network where members upload construction leads and other members claim them.

• Sellers are responsible for the accuracy, legality, and authorized origin of every lead they upload.
• Buyers acknowledge that leads are unverified by us and are sold AS IS.
• Need4Lead does not guarantee lead quality, conversion, or any business outcome.
• Every lead is exclusive: the moment a buyer claims a lead, it is removed from the pool and no other member can claim or contact that lead through the platform.

• Need4Lead has no monthly subscription, no recurring charge, and no membership fee.
• Members purchase packs of upload and claim slots as one-time payments. Slots never expire.
• A new pack may only be purchased once a member has used (claimed against) all of their existing credits. Members cannot stockpile credit balances by purchasing multiple packs at once.
• All fees are stated in U.S. dollars and are non-refundable. See Section 6.
• We may adjust pack pricing, slot mechanics, or related terms with 30 days’ notice. Continued use after the effective date constitutes acceptance.

• All pack purchases are final. We do not issue refunds, partial refunds, or pro-rated credits for any reason, including unused slots, account closure, or dissatisfaction with claimed leads.
• Once a credit is spent on a claim, the contact information is delivered and the credit is consumed regardless of whether the lead converts. Lead quality, conversion, and outcomes are not guaranteed.
• If a lead is materially false, fraudulent, or duplicates one already on the platform, we may at our sole discretion suspend or terminate the uploading member. We do not, however, refund the buyer's credit or pack purchase.
• Chargebacks may result in immediate account termination and forfeiture of any remaining slots.

You agree not to:

• Upload leads obtained without the client's consent or in violation of any law (including TCPA, CAN-SPAM, CCPA, and California's Do Not Call rules).
• Misrepresent the scope, location, budget, or status of any lead.
• Resell, scrape, or redistribute leads obtained through the Service outside the platform.
• Contact other members for purposes outside the lead transaction (no spam, recruiting, or unsolicited pitches).
• Reverse-engineer, copy, or compete with the Service using data obtained from it.
• Upload malware, attempt unauthorized access, or interfere with platform operation.

Violations may result in suspension, termination, and legal action.

• You retain ownership of leads you upload.
• By uploading, you grant Need4Lead a limited license to display, distribute, and transmit the lead to other members and to retain transaction records as required.
• Once a buyer claims a lead, the buyer receives an exclusive right to contact and pursue the lead through the platform; the lead is removed from the pool and no other member can claim it.

• Members may rate counterparties after a transaction. Reviews must be truthful and based on the actual transaction.
• We may remove reviews that violate these Terms or applicable law.
• Repeated low ratings, disputes, or complaints may result in suspension.

The Need4Lead name, logo, platform, and all associated content are owned by us or our licensors. You receive a limited, non-transferable license to use the Service for its intended purpose. No other rights are granted.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that any lead will result in a contract, revenue, or any specific outcome.

To the maximum extent permitted by law, Need4Lead's total liability for any claim arising out of or related to the Service is limited to the greater of (a) the fees you paid us in the 90 days preceding the claim, or (b) one hundred U.S. dollars ($100). We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, goodwill, or data.

You agree to defend, indemnify, and hold harmless Need4Lead and its officers, employees, and agents from any claim, liability, or expense (including reasonable attorneys' fees) arising from: (a) leads you upload, (b) your use of leads you claim, (c) your violation of these Terms or any law, or (d) your violation of any third-party right.

• You may close your account at any time from your settings.
• We may suspend or terminate your account for any breach of these Terms, fraudulent activity, or at our discretion with notice.
• Termination does not entitle you to a refund of any pack purchase or to compensation for unused slots. See Section 6.
• Sections that by their nature should survive termination (payments owed, ownership, disclaimers, indemnification, limitation of liability, dispute resolution) will survive.

We may update these Terms at any time. Material changes will be notified via email or in-app notice with at least 14 days' lead time. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute will be resolved by binding arbitration administered by JAMS in Los Angeles County, California, under its Streamlined Arbitration Rules.

You and Need4Lead each waive the right to a jury trial and the right to participate in a class action.

Either party may seek injunctive relief in court for IP or confidentiality matters.

• Entire Agreement: These Terms (with the Privacy Policy) are the entire agreement between us.
• Severability: If any provision is held unenforceable, the rest remains in effect.
• No Waiver: Failure to enforce any right is not a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign freely.
• Notices: We may send notices to your account email. You may send notices to Hello@Need4Lead.com.
